Senior Legal Counsel, China [China]


 

Overview

A highly competent, detail-oriented lawyer to act as first point of contact to the Franchise Beverage teams, reporting to the China Senior Legal Director. Provide legal advice and counseling on a wide variety of franchise and beverage related matters. This role will also be responsible for assisting China Senior Legal Director in franchise strategy and business planning from a legal perspective and will have interactions with the beverages Leadership Team where needed.

Responsibilities

  • Strategic partner to business clients, driving and managing output to meet business needs by using own initiative while always ensuring sufficient analysis and mitigation of risk.
  • First level of independent legal advice to business clients:

oIssuing accurate, reliable contracts for all franchise and beverage & transactions which take into account all Company policies, precedents and guidelines;

oPartnering with business team and Bottlers to pursue business AOP and other key agendas by providing effective legal support and advice on overall franchise and beverage business or projects, government investigation and litigation.

oProvide key legal advice and solutions on EBA compliance and proactively keep up-to-date with China laws and regulations

oAssist China Senior Legal Director in franchise strategy and business planning from a legal perspective, and have interactions with the beverages Leadership Team where needed

oManagement of legal risk and exposure in relation to all dealings with third parties;

oEnsuring robust corporate governance and maintaining corporate documentation;

oProactively partnering with and protecting the business from legal liabilities and risks;

oRaising capability of the Legal function, identifying best practices from across PepsiCo as well as externally and working towards simplifying and automating processes within the function;

oImplementing the Company’s policies and provide support to all other functions in relation to documentation required for the implementation of the same;

oAssisting lead counsel on major projects, ranging from negotiation, drafting and execution of complex agreements, high value litigation;

oStrategic litigation management under supervision of chief counsel, overseeing external counsel and implementing effective mitigation plans;

oEstablish and maintain working relationships with lawyers across the PepsiCo system to ensure global precedents and best practices are implemented;

oUndertake initiatives designed to enhance the capability of the Law Department.

oLead targeted training to clients on matters such as anti-bribery, anti-trust, contract provisions, etc.

Qualifications

  • Law Degree from a mid-top tier school.
  • Admitted to practice law with current legal practioner’s certificate.
  • Preferred to have at least 12 years of experience, either all law firm or split between industry and Law firm.
  • Be familiar with FMCG industry business and has at least 6-years experience as an independent counsel.
  • Knowledgeable of China laws, better to have HK and TW law knowledge
  • Solid experience in corporate commercial legal work with a good understanding of government processes & regulatory environment. Experience in litigation and litigation strategy a plus.
  • Fluency in English both spoken & written.
  • Significant autonomy with ability to identify potential risks in new, complex and dynamic environment, and escalate as appropriate to trigger higher level support.
  • Carry out new / complex projects with limited reviews.
  • Highly agile, knows where to find the right information in the most effective way. Seeks input from the right senior leaders / external counsel.
  • Strong people leader / manger with the ability to understand broader-than-own agenda and help others succeed.
  • Removes barriers for team / function and identifies potential and performance gaps in team members – creates, in partnership with HR and business, development plans to bridge those gaps for getting the best out of people.
  • Be open to take challenges and stretch-out, willing to explore, study and handle new issues, new business models, innovative initiatives, programs or projects.
